These Terms of Service ("Terms") govern your access to and use of Keypr's website and services. By using our services, you agree to be bound by these Terms.

1. Services Overview

Keypr provides a technology platform that connects homebuyers with licensed real estate professionals. Our services include property search assistance, showing coordination, offer preparation, negotiation support, and commission rebate processing.

Real estate brokerage services are provided by Konfidis Realty Inc., Brokerage, a licensed real estate brokerage in Ontario.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use our services. By using Keypr, you represent and warrant that you meet these requirements.

3. Account Registration

To access certain features, you may need to create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Commission Rebate Terms

Keypr offers a commission rebate program subject to the following conditions:

• Rebates are calculated as a percentage of the cooperating commission received on your transaction
• The exact rebate amount depends on the commission offered by the seller on your specific property
• Rebates are paid after successful closing and receipt of commission by our brokerage
• Rebate payments are subject to any applicable legal or regulatory requirements
• You must complete your transaction through Keypr and our brokerage partner to be eligible

5. No Guarantee of Outcomes

While we strive to provide excellent service, we cannot guarantee:

• Specific financial outcomes or rebate amounts
• Successful completion of any real estate transaction
• Availability of specific properties
• Acceptance of offers by sellers

6. User Responsibilities

You agree to:

• Use our services only for lawful purposes
• Provide accurate information in all dealings
• Work exclusively with Keypr and our brokerage partner once engaged
• Comply with all applicable real estate laws and regulations
• Not interfere with or disrupt our services

7. Intellectual Property

All content on our platform, including text, graphics, logos, and software, is owned by Keypr or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written consent.

8. Privacy

Your use of our services is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, Keypr and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services.

11. Indemnification

You agree to indemnify and hold harmless Keypr, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

12. Termination

We may suspend or terminate your access to our services at any time for any reason, including violation of these Terms. Upon termination, your right to use our services will immediately cease.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. MLS® System (VOW) Information

The listing content (VOW Content) is provided by Konfidis Realty Inc. (VOW Operator) by license from Information Technology Systems Ontario (ITSO).

Konfidis Realty Inc. is the Member brokerage that is operating the VOW, responsible for the website and the use of the VOW data.

By using our services, you acknowledge and agree to the following:

1. You acknowledge entering into a lawful consumer-broker relationship with the VOW Operator.
2. You represent that you have a bona fide interest in the purchase, sale, or lease of real estate of the type being offered through the VOW.
3. You will make only personal, non-commercial use of the VOW Content for no other purpose than to identify prospective properties you may be interested in purchasing.
4. You will not copy, redistribute, or retransmit any of the VOW Content, except in connection with your consideration of the purchase or sale of an individual property.
5. You acknowledge the ITSO's ownership of and the validity of ITSO's copyrights in the MLS® System data.
6. You understand that despite the preceding provisions, the ITSO and other Members and their duly authorized representatives may access the VOW for the purposes of verifying compliance with these ITSO MLS® Rules and monitoring display of other Members' listings by the VOW.
